Kevin Aoun is a business lawyer who helps individuals, small businesses, and regional and international corporations solve problems related to commercial real estate. His background includes representing buyers, sellers, owners in member disputes, as well as drafting and reviewing loan documents and all aspects necessary to close a loan.

Kevin prepares loan documents and handles loan closings for banks and other financial institutions for both routine and complex commercial transactions. Kevin's primary responsibilities include drafting and negotiating loan documents; reviewing real estate due diligence which includes reviewing title documents, environmental reports, and surveys; and reviewing corporate due diligence which includes UCC lien searches, organizational documents, certificates of good standing, litigation searches, assisting with loan closings, and performing legal research.

Kevin's litigation practice ranges from simple breach of contract disputes to complex commercial litigation. His experience includes real estate disputes, employment-related disputes, shareholder and member disputes, defending class actions, and representing banks and lending institutions in contract disputes with individual and commercial borrowers. He has taken and defended depositions of individuals, employees, CFOs and CEOs, participated in all aspects of discovery, and drafted and argued substantive issues before the court.

  • Drafted member and shareholder purchase agreements and operating agreements for various business entities.
  • Represented individuals and businesses in jet acquisitions, including fractional share ownership, to ensure FAA and IRS compliance: negotiated purchase agreements; structured operating entities; and drafted aircraft leases, pilot services and management agreements.

LITIGATION

  • Represented numerous banks and financial institutions to recover collateral and secure judgments against individual and commercial borrowers.
  • Represented a local HMO in a complex out-of-network emergency services provider dispute.
  • Represented multiple companies in a heavily litigated multi-million-dollar minority member dispute relating to real estate owning entities.
  • Represented purchaser of multi-million-dollar historic skyscraper in Detroit requiring the seller to complete the sale.
  • Represented a regional insurance company in obtaining denial of class certification and dismissal of novel and complex class action claims relating to premiums.
  • Represented an OEM in UCC breach of warranty supplier disputes.
