Richard D. Choi focuses his practice on representing companies in complex strategic transactions, including mergers, acquisitions and joint ventures. In addition, he counsels both public and private companies on a range of general corporate and securities law matters, including reporting and disclosure issues. Richard also counsels companies contracting directly with the federal government or as a subcontractor in their ongoing operations and regulatory obligations, including Federal Acquisition Regulation (FAR), International Traffic in Arms Regulation (ITAR) and Export Administration Regulation ( EAR) compliance. His strong interest in technology has led him to expand his practice to include technology transactions, data licensing and distribution, Internet and e-commerce initiatives, and procurement of telecommunication systems and related services.

Experience

Richard has played important roles in a number of multi-million dollar deals, including the $560 million acquisition by a Norwegian automotive supplier from an American conglomerate, a $50 million credit agreement between a major American bank and an international components manufacturer, and the $15 million stock purchase between an electronic components manufacturer and a power distribution equipment provider.

Acquisitions can be seemingly attractive, but rife with hidden expenses and liability. I help my clients through many successful acquisitions by conducting the due diligence necessary to confidently move forward with the transaction.”
