Miller Canfield Attorney Phil Torrence to Speak at ICLE Seminar

Torrence, a principal in the Kalamazoo office, will speak at the Twentieth Annual Business Law Institute Seminar presented by the Institute of Continuing Legal Education (ICLE) on June 14, 2008 in Dearborn, Michigan. He will present “Analyze That: Insights from the 2007 Deal Points Studies on Private Targets, Public Targets, and Public Target LBOs.”
Torrence practices in the areas of general business and high-technology ventures. His corporate, finance, securities and venture capital practice includes private and public securities offerings, public company representation, mergers and acquisitions, financing, venture capital financing, executive compensation planning, corporate restructuring, going-private transactions, various regulatory and compliance matters, entity formation, shareholder relations, and other corporate matters, with a particular emphasis on banks and bank holding companies. He also represents issuers and investors in life science companies in connection with transactions involving intellectual property or product rights.
He received his law degree from the University of Utah College of Law, and his B.A. in political science from Hope College.
Torrence is a member of the American Bar Association, State Bar of Michigan, Kalamazoo County Bar Association, Kalamazoo County Chamber of Commerce, Kalamazoo Institute of the Arts, and serves as an adjunct advisor to the Kalamazoo Bank consortium. He has published several articles regarding venture capital finance, mergers and acquisitions and securities laws issues. Torrence has been a contributing author on several of the Deal Points Studies published by the Mergers & Acquisitions Market Trends Subcommittee of the Committee on Negotiated Acquisitions of the American Bar Association’s Section of Business Law. He is also the Chair of Miller Canfield’s Venture and Technology Practice.
He resides in Portage, Michigan.
